A aprova\u00e7\u00e3o est\u00e1 condicionada ao cumprimento integral dos compromissos assumidos pela Carlyle, que implicam a aliena\u00e7\u00e3o do neg\u00f3cio mundial de polissulfetos da Nouryon Ltd., a um comprador adequado.<\/p>\n\n\n<div class=\"wp-block-image\">\n<figure class=\"alignleft size-full is-resized\"><img decoding=\"async\" width=\"579\" height=\"385\" 579px) 100vw, 579px\" \/><\/figure>\n<\/div>\n\n\n<p class=\"wp-block-paragraph\">Antes desta aprova\u00e7\u00e3o a Comiss\u00e3o Europeia iniciou um processo de investiga\u00e7\u00e3o sobre as atividades das empresas envolvidas, face ao receio de que esta transa\u00e7\u00e3o, tal como inicialmente notificada, levasse ao bloqueio do mercado na produ\u00e7\u00e3o e fornecimento de polissulfetos para selantes aeroespaciais, mercado no qual a Nouryon opera, e na produ\u00e7\u00e3o e fornecimento de selantes aeroespaciais, mercado no qual a BASF Coatings opera.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">A investiga\u00e7\u00e3o da Comiss\u00e3o constatou ainda que, a entidade resultante da fus\u00e3o, poderia ter a capacidade e o incentivo para utilizar informa\u00e7\u00f5es comercialmente sens\u00edveis dispon\u00edveis para a Nouryon, a fim de colocar os concorrentes da BASF Coatings em desvantagem competitiva.<\/p>\n\n\n<div 1024px\" \/><\/figure>\n<\/div>\n\n\n<p class=\"wp-block-paragraph\"><strong>Solu\u00e7\u00f5es encontradas<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Em face \u00e0s preocupa\u00e7\u00f5es preliminares da Comiss\u00e3o em mat\u00e9ria de concorr\u00eancia, a Carlyle apresentou, entre outras solu\u00e7\u00f5es, desinvestir no neg\u00f3cio mundial de polissulfetos da Nouryon, atrav\u00e9s de uma empresa compradora com experi\u00eancia comprovada no setor qu\u00edmico, ou um investidor financeiro com experi\u00eancia na gest\u00e3o de empresas do setor qu\u00edmico.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Estes compromissos pretendem ir de encontro \u00e0s preocupa\u00e7\u00f5es com a concorr\u00eancia identificadas pela Comiss\u00e3o, eliminando assim a rela\u00e7\u00e3o vertical entre as atividades das duas empresas na produ\u00e7\u00e3o e fornecimento de polissulfetos para selantes aeroespaciais, bem como os pr\u00f3prios selantes aeroespaciais.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Ap\u00f3s o feedback positivo recebido no contexto do teste de mercado, a Comiss\u00e3o Europeia concluiu que a transa\u00e7\u00e3o, tal como modificada pelos compromissos, deixaria de suscitar preocupa\u00e7\u00f5es de concorr\u00eancia no Espa\u00e7o Econ\u00f3mico Europeu (EEE), dando assim luz verde \u00e0 transa\u00e7\u00e3o.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Contudo, a decis\u00e3o est\u00e1 condicionada ao cumprimento integral dos compromissos, que ficar\u00e1 sob a supervis\u00e3o da Comiss\u00e3o, sendo que um administrador fiduci\u00e1rio independente acompanhar\u00e1 a sua execu\u00e7\u00e3o.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">A BASF Coatings desenvolve, produz e vende produtos e solu\u00e7\u00f5es de revestimento para a ind\u00fastria autom\u00f3vel, tratamentos de superf\u00edcie aplicados para v\u00e1rias outras ind\u00fastrias, bem como revestimentos e selantes para fabricantes de equipamento original aeroespacial.
